Scope of Services

Web Grapple provides the following services:

• Website Development: Custom website design and development
• WordPress Development: WordPress website creation and customization
• Website Design: UI/UX design and graphic design services
• SEO Services: Search engine optimization and digital marketing
• Social Media Marketing: Social media strategy and management
• Website Maintenance: Ongoing support, updates, and maintenance

Project Agreement

Each project will be governed by a specific project agreement outlining:

• Detailed scope of work and deliverables
• Project timeline and milestones
• Pricing and payment schedule
• Revision policy and number of revisions included
• Client responsibilities and required materials

To ensure successful project completion, clients must:

Payment Structure

Unless otherwise agreed in writing, our standard payment terms are:

Accepted Payment Methods

• Bank Transfer (NEFT/RTGS/IMPS)
• UPI (Google Pay, PhonePe, Paytm)
• Credit/Debit Cards (Visa, Mastercard, Amex)
• PayPal (for international clients)
• Cheque (for amounts above ₹50,000)

Payment Deadlines

• Invoices are due within 7 days of issuance unless otherwise specified
• Late payments may incur a 2% monthly interest charge
• Work may be suspended if payments are overdue by more than 14 days
• Final deliverables will only be released upon full payment

Refund Eligibility

Cancellation Policy

Client-Initiated Cancellation:

• You may cancel the project at any time by providing written notice
• Payment for completed work will be retained based on hours worked
• All work completed up to cancellation point will be provided

Web Grapple-Initiated Cancellation:

• We reserve the right to terminate services for non-payment or breach of terms
• We may cancel projects that violate ethical or legal standards
• In case of termination by us, unused advance payment will be refunded

Client Ownership

Upon full payment, you will own:

• Final Deliverables: The completed website, design files, and content created specifically for your project
• Custom Code: Any custom code written specifically for your project
• Content: All text, images, and materials you provided

Web Grapple Retains

• Methodologies: Our development processes and methodologies
• Tools & Templates: Our proprietary tools, frameworks, and code libraries
• Portfolio Rights: Right to display the project in our portfolio
• Third-Party Components: Licenses for third-party plugins, themes, or software remain with their respective owners

Third-Party Content

You are responsible for:

• Ensuring all content, images, and materials you provide are legally owned or licensed
• Obtaining necessary licenses for stock photos, fonts, or other third-party resources
• Complying with WordPress, theme, and plugin licensing terms
• Indemnifying Web Grapple against any intellectual property claims

Our Warranties

Web Grapple warrants that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will substantially conform to specifications in the project agreement
• We have the right to provide the services
• Bug-free warranty for 30 days after project delivery (excludes issues caused by client modifications)

Limitations of Liability

Web Grapple shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Issues arising from third-party services, hosting, or software
• Damages exceeding the total amount paid for the specific project
• Issues caused by client modifications to deliverables
• Website downtime or performance issues beyond our control

Web Grapple respects the confidentiality of client information and agrees to:

• Keep all client information, business details, and project specifics confidential
• Not disclose confidential information to third parties without written consent
• Use confidential information solely for the purpose of delivering services
• Return or destroy confidential information upon project completion (if requested)

Exceptions

Confidentiality does not apply to information that:

• Is publicly available or becomes public through no fault of Web Grapple
• Was known to Web Grapple prior to disclosure by the client
• Is independently developed by Web Grapple without use of client information
• Is required to be disclosed by law or court order

Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Dispute Resolution

In the event of any dispute, we encourage the following resolution process:

1. Direct Communication: Attempt to resolve through good-faith discussions (recommended first step)
2. Mediation: If direct communication fails, engage a neutral third-party mediator
3. Arbitration: Submit to binding arbitration in Mumbai, India (if mediation fails)
4. Legal Action: As a final resort, pursue legal action in Mumbai courts

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective upon posting to our website.

Notification of Changes

For significant changes, we will:

• Update the "Last Updated" date at the top of this page
• Post a notice on our website homepage
• Send email notifications to active clients (if we have your email)
• Provide at least 30 days notice for material changes
